1. Scope and Field of Application

These General Terms and Conditions (hereinafter "GTC") exclusively govern all commercial relations between Matur Sàrl (hereinafter "the Seller") and its customers (hereinafter "the Customer"), whether specialist distributors, Haustechnik companies, sanitary installers or private customers, via the website awswiss.ch.

Placing an order implies the Customer's full acceptance of these GTC, which take precedence over any conflicting purchase conditions, unless otherwise agreed in writing by Matur Sàrl management.

These GTC are permanently available on awswiss.ch and may be consulted before any order. Matur Sàrl reserves the right to modify them at any time. The applicable version is the one in force at the date of the order.

2. Orders and Contract Formation

The sales contract is deemed concluded upon the Seller sending an order confirmation by email to the Customer. Matur Sàrl reserves the right to refuse any order in case of:

— existing or unresolved payment dispute — known insolvency or ongoing debt collection proceedings — manifestly abusive or fraudulent order

Minimum order: A minimum amount of CHF 75.– net (excluding VAT and shipping) is required per order.

Retention of title: In accordance with art. 715 SCC, delivered goods remain the exclusive property of Matur Sàrl until full payment of the purchase price.

3. Prices, Taxation and Payment Terms

Switzerland

Prices are quoted in Swiss Francs (CHF) excluding VAT. The applicable Swiss VAT rate is added at checkout. The applicable price is the one displayed at the time the order is confirmed.

European Union (Export)

Invoices are issued excluding tax. Customs duties, local VAT and clearance fees are the exclusive responsibility of the Customer. Matur Sàrl cannot be held liable for delays or additional costs related to customs procedures.

Payment terms: Unless a specific written agreement exists for "Pro" accounts, payment is due upfront at the time of ordering.

For invoiced accounts agreed in writing, the payment term is 10 net days from the invoice date.

Any late payment automatically incurs, without prior notice, default interest at 5% per annum (art. 104 CO), as well as reimbursement of any reminder and collection costs.

4. Delivery and Transfer of Risk

Shipment is made under Incoterm EXW (Ex Works) from our Moudon warehouse. Risk of loss, theft or damage transfers to the Customer upon handover to the carrier.

Delivery times are indicative and do not constitute a binding commitment. No delay may give rise to order cancellation or compensation, unless agreed in writing in advance.

5. Warranty and Technical Liability

Extended Commercial Warranty — 5 Years (AW Pax)

In addition to the statutory warranty under art. 197 et seq. CO, Matur Sàrl grants a voluntary commercial warranty of 5 years on manufacturing defects for AW Pax products, from the date of production.

This warranty is subject to:

— installation compliant with SIA 181 standards and Haustechnik best practices — use in conditions specified in the technical datasheet — absence of any unauthorised modification or repair


Liability limits: The warranty is strictly limited to free replacement or repair of the product recognised as defective. Expressly excluded are: labour costs, removal/reinstallation costs, travel expenses, and any compensation for indirect damages or loss of business (art. 208 CO).

Statutory warranty (CO): The Customer benefits from the statutory warranty for defects under art. 197–210 CO, including the right to rescission, price reduction or replacement.

6. Claims, Returns and Right of Withdrawal

The Customer must inspect goods upon receipt. Any claim for apparent defects must be notified in writing within 8 working days, supported by documentary evidence.

Voluntary right of return — 30 days

Although Swiss law (CO) does not impose a statutory withdrawal period for online purchases, Matur Sàrl voluntarily grants private customers a 30-day return period from receipt, exceeding the EU Directive 2011/83/EU applicable to customers domiciled in the EU.

Conditions: new, uninstalled product, in its original intact packaging, with the delivery note.

Return costs: at the Customer's expense. A flat fee of 15% of the net amount (minimum CHF 75.–) will be deducted for technical inspection, reconditioning and restocking. Any returned product that is damaged or incomplete will be refused.

7. Personal Data Protection (FADP / GDPR)

Matur Sàrl processes personal data in accordance with the Federal Act on Data Protection (FADP, RS 235.1) in force since 1 September 2023, and the GDPR EU 2016/679 for customers domiciled in the EU.

Data collected is used exclusively for order processing and the commercial relationship. It is never passed on to third parties for commercial purposes.

The Customer has the right of access, rectification, erasure and portability of their data, exercisable by email at the address shown in the site's legal notice.

8. Intellectual Property

All elements of awswiss.ch (texts, images, logos, technical datasheets, patents, diagrams) are the exclusive property of Matur Sàrl and protected under Swiss intellectual property law (CopA, PatA).

Any reproduction or exploitation without prior written authorisation is strictly prohibited and constitutes a violation subject to civil and criminal proceedings.

9. Applicable Law and Jurisdiction

These GTC are governed exclusively by Swiss law (CO), to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).

Business customers (B2B): Exclusive place of jurisdiction: Moudon (VD), Switzerland.

Consumer customers (B2C): In accordance with art. 32 CPC and art. 114 PILA, consumers retain the right to bring proceedings before the court of their domicile. For customers domiciled in the EU, the mandatory consumer protection rules of their country of residence remain applicable.

10. Final Provisions

Severability clause: If any provision is declared null and void, the remaining provisions remain in force and shall be replaced by a valid rule as close as possible to the original intention of the parties.

Amendment of GTC: The applicable version is the one published on the website at the time of ordering.

Entire agreement: These GTC and the order confirmation constitute the entire agreement between the parties.
