General Terms and Conditions (GTC)

1. Subject and Scope of Application
These General Terms and Conditions (hereinafter "GTC") exclusively govern all commercial relations between Matur Sàrl (hereinafter "the Seller") and its customers (hereinafter "the Customer"), whether they are specialized distributors, building technology (Haustechnik) companies, sanitary installers, or private customers, via the website awswiss.ch.
Any order placed implies the Customer's full and unreserved acceptance of these GTC, which shall prevail over any conflicting purchasing conditions, unless otherwise agreed in writing and signed by the management of Matur Sàrl.
2. Orders and Conclusion of Contract
The contract is deemed concluded upon acceptance of the order by the Seller (order confirmation sent by email). Matur Sàrl reserves the right to refuse any order in the event of an existing payment dispute or the Customer's notorious insolvency.
Minimum Order: Due to logistical management costs, a minimum amount of CHF 75.– net (excluding taxes and shipping costs) is required for each order.
3. Prices, Taxation, and Payment Methods
Switzerland Zone
Prices are indicated in Swiss Francs (CHF) excluding taxes. Statutory Swiss VAT is added during the checkout process.
European Union Zone (Export)
Invoices are issued tax-free. Customs duties, local VAT, and clearance fees are the exclusive responsibility of the Customer.
Payment Terms: Unless specifically agreed for "Pro" accounts, payment is due in full at the time of order. In the case of an invoice on account, the term is 10 days net. Any delay shall automatically incur default interest of 5%.
4. Delivery and Transfer of Risk
Shipping is carried out according to the EXW (Ex Works) Moudon Incoterm. The risk of loss or damage is transferred to the Customer as soon as the goods leave our warehouse.

5. Warranty and Technical Liability
5-Year Extended Warranty
Matur Sàrl grants a 5-year warranty on manufacturing defects (starting from the date of production) for AW Pax products. This warranty is conditional upon installation in compliance with SIA 181 standards and the best practices of building technology.
Limitation of Liability: The warranty is strictly limited to the free exchange or repair of the product recognized as defective by our technical services. Specifically excluded are: labor costs, removal/re-installation costs, travel expenses, as well as any compensation for indirect damages or loss of business.
6. Claims and Right of Return
The Customer must inspect the goods upon receipt. Any claim for apparent defects must reach us in writing within 8 working days.
Consumers (Switzerland/EU): In accordance with Directive 2011/83/EU, private individuals have 14 days to return the product (new condition, unopened packaging).
Return Shipping Costs: At the customer's expense. A flat-rate fee of 15% (min. CHF 75.–) will be deducted for technical inspection and restocking costs.
7. Intellectual Property and Data Protection
All plans, technical diagrams, and patents related to AW Swiss products remain the exclusive property of Matur Sàrl. Any reproduction or use without authorization is subject to legal action.
GDPR / FADP: Your data is treated confidentially in accordance with the Swiss Federal Act on Data Protection (FADP) and the General Data Protection Regulation (GDPR).
8. Applicable Law and Jurisdiction
The relations between the parties are governed exclusively by Swiss Law (Code of Obligations). In the event of a dispute, the exclusive place of jurisdiction is at the registered office of the company: Moudon (VD), Switzerland.
